• You own the rights to custom code developed specifically for you

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of services. This obligation survives the termination of these Terms.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. If you report a defect within 30 days of service delivery, we will re-perform the defective services at no additional charge.

7.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHMCSBUDDY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless WHMCSBUDDY and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services or violation of these Terms.

10. Service Modifications and Termination

We reserve the right to modify or discontinue our services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of services.

• All rights granted to you will immediately cease

• Any fees owed remain due and payable

Emergency services are provided on a best-effort basis. While we strive for rapid response times, we cannot guarantee specific response times for emergency services.

11.2 Monthly Support Plans

Monthly support plans are subject to:

• Specific ticket limits as defined in your plan
• Scope limitations on covered services
• Renewal terms and cancellation policies

11.3 Security Services

While we employ industry best practices for security services, we cannot guarantee prevention of all security incidents. You remain responsible for maintaining appropriate backups and security measures.

14. Dispute Resolution

Before filing a claim, each party agrees to try to resolve disputes informally by contacting the other party.
